Article XIV AMENDMENT OF ARTICLES OF ORGANIZATION

In order to change the Registered Agent or Address of Garden of Life, or to make grammatical adjustments in order to clarify the meaning of a passage in the Garden of Life Articles of Organization, a six/seventh majority vote of the Garden of Life Council of Elder Officiants will suffice. However, to make any substantive change in the Garden of Life Articles of Organization, the following procedures must be adhered to:

XIV. A. PROPOSAL OF AMENDMENT A formal request to call a Meeting of the Members to Consider Amendment of the Garden of Life Articles of Organization may be made by a resolution passed by a Majority of the Council of Elder Officiants; Resolutions passed in any three of the Official Temple Offices and forwarded to the Council of Elder Officiants, or a petition signed by eleven (11) percent of the Currently Active Membership Role and presented at a regular meeting of the Council of Elder Officiants.

XIV. B. MEETING TO CONSIDER AMENDMENT OF THE ARTICLES OF ORGANIZATION Once any and/or all of these three methods of proposal of amendment have occurred, a Meeting of the Members to Consider Amendment of the Garden of Life Articles of Organization will be scheduled by a majority vote of the Council of Elder Officiants. A date shall be set no less than twenty-three days, and no more than thirty-seven days from the date of determination of the need to call such a Meeting.

XIV. C. NOTICE OF MEETING TO CONSIDER AMENDMENT OF THE ARTICLES OF ORGANIZATION Written notice setting forth the proposed amendment or amendments; and the date, time, place and particulars of the scheduling of the proposed Meeting of the Members to Consider Amendment of the Garden of Life Articles of Organization, must be mailed or otherwise delivered to all Currently Active Members at least eleven (11) days before the proposed Meeting; authentication of Membership and verification of the number of Currently Active Members is the responsibility of The Office of the Membership Secretariate in coordination with the Office of the Archives and The Office of Publications.

XIV. D. ADOPTION OF AMENDMENT TO ARTICLES OF ORGANIZATION To effect adoption of the change or changes in the Articles of Organization: a two/thirds majority affirmative vote of the Currently Active Membership (authentication of Membership and verification of the number of Currently Active Members is the responsibility of The Office of the Membership Secretariate); Formal resolutions of approval by at least five of the Offices of the Temple, filed in the Office of the Archives; and a six/seventh majority affirmative vote of the Council of Elder Officiants; is necessary.

XIV. E. IMPLEMENTATION OF AMENDMENT TO ARTICLES OF ORGANIZATION If the change or changes are approved by the above process, the Council of Elder Officiants will cause a new version of the Garden of Life Articles of Organization (Garden of Life Articles of Incorporation, once incorporated) with the approved changes, to be drawn up and delivered to every Member on the Currently Active Membership Role who requests a copy. The Council of Elder Officiants will ascertain that all old versions are removed and the new version of the Articles of Organization entered into all the Office of the Archives files that include a copy, particularly the Main Files (a few copies of the superseded version will be archived, clearly marked on the front and inside with the date of supersession), and have issued copies to all extant Temple Offices, Glades, Orders and Enclaves, with instructions to remove the old versions of the Articles of Organization and the enter the new version of the Articles of Organization into their Main Files, any other of their files where there is a copy of the Articles of Organization and to return the superseded copies to the Office of the Archives. The Council of Elder Officiants will also require that notification be sent to all Individuals and Groups which hold Certificates of Affirmation of Affiliation and/or Liaison with Garden of Life; and to all Individuals and Groups who have contractual arrangements with Garden of Life of any type, that would be affected by the changes. The Council of Elder Officiants also will have notification sent to any governmental agencies whose interactions with Garden of Life would be affected by the changes in the Articles of Organization. Then application of the effects of the changes, if any, in the Garden of Life Articles of Organization to the operations of the Temple will be implemented.

XIV. F. OTHER GARDEN OF LIFE DOCUMENTS AFFECTING AMENDMENT TO THE ARTICLES OF ORGANIZATION Additional clarification or delineation may be contained in the Garden of Life ByLaws and/or other Garden of Life Formalization/Founding Documents (see Article I. Section C. of these Articles of Organization)
